These Terms of Service, collectively referred to as the “Terms,” are entered into between you and Floraphy LLC, referred to as “Floraphy,” “we,” “us,” or “our.”

These Terms govern your access to and use of Floraphy’s websites, online store, customer accounts, communications, content, products, subscriptions, and other services that link to these Terms, collectively referred to as the “Services.”

By accessing or using the Services, creating an account, placing an order, purchasing a product or subscription, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

If you do not agree to these Terms, you must not access or use the Services.

If you access or use the Services on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Changes that affect an active subscription, including changes to pricing, billing frequency, delivery frequency, shipping charges, or renewal terms, will be communicated before they apply to an upcoming renewal where required by law.

CUSTOMER ACCOUNTS

You may be required to create an account to use certain features of the Services.

When creating or using an account, you agree to:

However, we do not guarantee that all product descriptions, photographs, prices, ingredient lists, packaging, or other information will always be complete, accurate, current, or free from errors.

Product packaging, appearance, ingredients, quantities, and specifications may change from time to time.

You are responsible for reviewing the product label, ingredients, warnings, directions, and packaging you receive before using the product.

If information displayed through the Services conflicts with the information printed on the product packaging, contact us before using the product.

• Have allergies or sensitivities.

• Are under medical supervision.

• Take prescription or over-the-counter medications.

ORDERS

Your use of a payment method may also be subject to the terms and privacy policies of the applicable payment processor, bank, card issuer, digital wallet provider, or other financial-service provider.

You authorize Floraphy and its payment processors to exchange information reasonably necessary to:

• Verify your identity.

• Prevent fraud.

• Process refunds.

• Manage recurring subscription payments.

• Handle payment disputes or chargebacks.

Floraphy may not directly receive or store your complete payment-card information.

We may change or add payment processors at any time.

SHIPPING AND DELIVERY

Shipping and delivery timeframes are estimates unless expressly identified as guaranteed.

Delivery times may be affected by matters outside our reasonable control, including:

• Carrier delays.

• Weather conditions.

• Customs processing.

• Holidays.

• Incorrect shipping information.

• Product availability.

• Transportation interruptions.

• Labor disruptions.

• Government actions.

• Other operational delays.

You are responsible for providing a complete and accurate shipping address.

Floraphy is not responsible for delays, failed deliveries, or additional costs caused by incorrect or incomplete information provided by the customer.

You are responsible for reviewing your shipping information before submitting your order.

If you need to change your shipping information, contact us immediately. We cannot guarantee that an address can be changed after an order has entered processing.

Risk of loss and title to products transfer as provided by applicable law and the shipping terms presented during checkout.

If an order appears lost, damaged, incomplete, or incorrectly delivered, contact us promptly at hi@floraphylabs.com.

We may require photographs, packaging information, order details, or other documentation before issuing a replacement or refund.

INTERNATIONAL ORDERS

International orders may be subject to customs duties, import taxes, brokerage fees, or other charges imposed by the destination country.

Unless otherwise stated during checkout, the customer is responsible for these charges.

Floraphy does not control customs charges or international clearance delays.

You are responsible for determining whether the products you order may legally be imported into and used in your country.

Floraphy is not responsible for products that are delayed, held, returned, confiscated, or destroyed by customs or another government authority because of local restrictions.

RETURNS, REFUNDS, AND GUARANTEES

Returns, exchanges, replacements, and refunds are governed by the Floraphy Refund Policy displayed through the Services.

Any satisfaction guarantee, money-back guarantee, return window, or promotional guarantee applies only according to the conditions presented with that guarantee.

A return, refund, replacement, or guarantee claim may be subject to requirements that include:

• Submitting the request within the stated period.

• Providing an order number or proof of purchase.

• Returning the product when requested.

• Providing photographs or supporting information.

• Using the product as directed.

• Limiting claims to one per customer, household, address, payment method, or product.

• Excluding original shipping charges where permitted.

• Excluding orders associated with fraud, abuse, unauthorized resale, or repeated guarantee claims.

Products purchased from unauthorized resellers may not be eligible for Floraphy’s return policy or satisfaction guarantee.

Nothing in these Terms limits any consumer right that cannot legally be waived.

SUBSCRIPTIONS

Floraphy may allow certain products to be purchased through an automatically renewing subscription.

The subscription price, billing frequency, delivery frequency, products included, discounts, and applicable shipping charges will be displayed before purchase.

By purchasing a subscription, you acknowledge and agree that:

• Your subscription will automatically renew until canceled.

• Your payment method will be charged on a recurring basis.

• Products will be shipped according to the delivery frequency selected during checkout or displayed in your subscription account.

• Each renewal charge may include the product price, shipping charges, taxes, and other disclosed fees.

• Your subscription continues until you cancel it.

• Charges incurred before cancellation takes effect remain your responsibility.

Your initial subscription begins when your first payment is processed.

Each subsequent subscription order will renew according to the frequency disclosed during checkout unless you cancel, skip, pause, or modify the subscription before the next order is processed.

SUBSCRIPTION PAYMENT AUTHORIZATION

By purchasing a subscription, you authorize Floraphy and its payment processors to:

• Store your payment method.

• Charge your payment method for the initial purchase.

• Automatically charge your payment method for future renewals.

• Retry failed or declined payments where permitted.

• Collect applicable shipping charges and taxes.

This authorization remains effective until your subscription is canceled.

If a recurring payment cannot be processed, we may:

• Retry the payment.

• Request an updated payment method.

• Suspend the subscription.

• Delay the shipment.

• Cancel the subscription.

You remain responsible for charges incurred before cancellation becomes effective.

SUBSCRIPTION CHANGES

Where available, you may be able to:

• Change the products included in your subscription.

• Change the quantity.

• Change the delivery frequency.

• Skip an upcoming order.

• Pause the subscription.

• Update your payment information.

• Update your shipping address.

• Cancel the subscription.

Subscription changes must be submitted before the applicable renewal order enters processing.

Once a subscription order has entered processing or fulfillment, we may not be able to change or cancel that order.

SUBSCRIPTION CANCELLATION

You may cancel your subscription at any time before the next renewal order is processed.

You may cancel by:

• Using the cancellation option in your customer or subscription portal, where available.

• Emailing hi@floraphylabs.com and requesting cancellation.

When contacting us, include the email address associated with the subscription and sufficient order information for us to locate it.

We recommend submitting cancellation requests at least 24 hours before the next scheduled renewal.

Cancellation prevents future renewals but does not automatically cancel or refund an order that has already been processed.

Unless required by law or provided by our Refund Policy, subscription charges already processed are not prorated or refunded solely because the subscription is canceled afterward.

If you have multiple subscriptions, each subscription may need to be canceled separately.

SUBSCRIPTION PRICE AND TERM CHANGES

We may change subscription prices, available products, product quantities, shipping charges, discounts, or delivery frequencies.

When a change will affect an upcoming recurring charge, we will provide advance notice where required by applicable law.

Notice may be provided by:

• Email.

• Text message.

• Customer-account notification.

• Subscription-portal notification.

• Another legally permitted method.

Continuing the subscription after the effective date of a properly disclosed change constitutes acceptance of the updated subscription terms to the extent permitted by law.

PROMOTIONS AND DISCOUNTS

We may offer promotional codes, discounts, bundles, referral credits, giveaways, gifts, loyalty benefits, or other promotions.

Promotions may:

• Be available for a limited time.

• Be limited to specific customers or products.

• Require a minimum purchase.

• Exclude subscriptions or previous purchases.

• Be limited to one use per customer or household.

• Be subject to separate terms.

• Be modified or discontinued where permitted.

Promotional offers have no cash value unless expressly stated otherwise.

Promotional codes may not be sold, reproduced, transferred, or used fraudulently.

We may cancel or refuse a promotion if we reasonably believe it has been obtained or used through fraud, manipulation, technical error, or abuse.

CUSTOMER REVIEWS AND USER CONTENT

The Services may allow you to submit reviews, ratings, photographs, testimonials, comments, messages, videos, or other materials, collectively referred to as “User Content.”

You retain ownership of your User Content.

By submitting User Content, you grant Floraphy a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, edit, adapt, publish, translate, display, distribute, advertise, and create derivative works from that User Content in connection with:

• Operating the Services.

• Marketing Floraphy.

• Promoting Floraphy products.

• Social media.

• Advertising.

• Customer education.

• Other lawful business purposes.

This license includes the right to use the name, username, likeness, voice, or other information you submit with the User Content, to the extent permitted by law.

You represent and warrant that:

• You own or have permission to submit the User Content.

• The User Content reflects your genuine experience or opinion.

• The User Content is accurate and not misleading.

• The User Content does not violate another person’s rights.

• The User Content does not contain unlawful, threatening, abusive, defamatory, obscene, fraudulent, or infringing material.

• You have disclosed any compensation, free product, discount, employment relationship, or other material connection associated with the User Content.

We may moderate, reject, remove, edit, restrict, or decline to publish User Content.

We are not obligated to monitor or publish every submission.

ACCEPTABLE USE

You may use the Services only for lawful, personal, and non-commercial purposes unless we provide written permission otherwise.

You may not:

• Violate applicable laws or regulations.

• Commit or attempt fraud.

• Provide false, deceptive, or misleading information.

• Impersonate another person or organization.

• Access another person’s account without permission.

• Interfere with the operation or security of the Services.

• Introduce viruses, malware, harmful code, or automated attacks.

• Attempt to gain unauthorized access to systems, accounts, or information.

• Scrape, crawl, copy, or collect information using automated means without permission.

• Reverse engineer, decompile, or attempt to derive the source code of the Services.

• Circumvent access restrictions, security measures, or usage limitations.

• Use the Services to send spam or unauthorized advertisements.

• Infringe intellectual-property, privacy, publicity, or other legal rights.

• Purchase products for unauthorized resale or redistribution.

• Abuse promotions, refunds, subscriptions, reviews, referral programs, or guarantees.

• Use Floraphy trademarks, branding, photographs, product images, or content without permission.

We may restrict or terminate access when we reasonably believe these requirements have been violated.

INTELLECTUAL PROPERTY

The Services and their content are owned by or licensed to Floraphy and are protected by intellectual-property laws.

This includes:

• The Floraphy name and logo.

• Product names.

• Trademarks and service marks.

• Packaging and label designs.

• Website designs.

• Written content.

• Product descriptions.

• Photographs and videos.

• Advertisements.

• Graphics and illustrations.

• Software and source code.

• Databases and compilations.

You may access and use the Services for personal, non-commercial purposes only.

You may not copy, reproduce, modify, distribute, publish, display, sell, license, create derivative works from, or commercially exploit Floraphy content without prior written permission.

No ownership right or license is granted except as expressly stated in these Terms.

THIRD-PARTY SERVICES AND LINKS

The Services may contain links to or integrations with third-party websites, applications, payment providers, social media platforms, shipping providers, analytics services, and other third-party services.

Floraphy does not control and is not responsible for:

• Third-party content.

• Third-party availability.

• Third-party security.

• Third-party privacy practices.

• Products or services offered by third parties.

• Statements or representations made by third parties.

Your use of a third-party service may be governed by that third party’s separate terms and privacy policy.

Accessing a third-party service is at your own risk.

EMAIL AND TEXT-MESSAGE COMMUNICATIONS

You may receive transactional communications regarding:

• Orders.

• Payments.

• Deliveries.

• Subscriptions.

• Account activity.

• Customer-service requests.

• Security matters.

• Policy updates.

If you separately consent to marketing communications, you may also receive promotional emails or text messages.

Consent to receive marketing text messages is not a condition of purchasing a Floraphy product.

Message and data rates may apply. Message frequency may vary.

You may unsubscribe from marketing emails by using the unsubscribe link included in the email.

You may stop promotional text messages by replying STOP.

You may receive a final confirmation message after opting out.

SERVICE AVAILABILITY

We do not guarantee that the Services will always be uninterrupted, secure, available, or error-free.

• Suspend features.

• Perform maintenance.

• Restrict access.

• Discontinue portions of the Services.

• Correct technical errors.

We are not responsible for interruptions or failures caused by events outside our reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, CONTENT, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FLORAPHY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF:

• MERCHANTABILITY.

• FITNESS FOR A PARTICULAR PURPOSE.

• TITLE.

• NON-INFRINGEMENT.

• ACCURACY.

• AVAILABILITY.

• QUIET ENJOYMENT.

We do not guarantee that:

• The Services will meet every requirement.

• The Services will always be available.

• Information will always be accurate, complete, or current.

• Every product will produce a particular result.

• Errors will always be corrected.

• The Services will be free from viruses or harmful components.

Some jurisdictions do not allow certain warranty exclusions.

In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLORAPHY LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUCCESSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

THIS INCLUDES DAMAGES ARISING FROM:

• LOSS OF PROFITS OR REVENUE.

• LOSS OF DATA.

• BUSINESS INTERRUPTION.

• LOSS OF OPPORTUNITY.

• LOSS OF GOODWILL.

• THE COST OF SUBSTITUTE PRODUCTS OR SERVICES.

• USE OF OR INABILITY TO USE THE SERVICES.

• RELIANCE ON CONTENT.

• UNAUTHORIZED ACCESS TO INFORMATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLORAPHY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR PRODUCTS PURCHASED THROUGH THE SERVICES WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO FLORAPHY DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

• $500.

Some jurisdictions do not permit certain limitations of liability.

In those jurisdictions, our liability will be limited only to the maximum extent permitted by law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Floraphy LLC and its owners, officers, directors, employees, affiliates, contractors, agents, licensors, service providers, and successors from claims, damages, losses, liabilities, judgments, costs, and expenses, including reasonable legal fees, arising from:

• Your misuse of the Services.

• Your User Content.

• Your violation of these Terms.

• Your violation of applicable law.

• Your infringement of another person’s rights.

This obligation does not apply to the extent that a claim results from Floraphy’s unlawful conduct, gross negligence, or willful misconduct.

SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Services if we reasonably believe that:

• You have violated these Terms.

• You have engaged in fraudulent activity.

• Your activity creates a security risk.

• Your activity may harm Floraphy or another person.

• Suspension or termination is required by law.

• You have abused a promotion, return policy, subscription, or guarantee.

Upon termination, your right to use the Services ends immediately.

Terms that by their nature should continue after termination will survive, including provisions concerning payments, subscriptions, intellectual property, disclaimers, limitations of liability, indemnification, disputes, and governing law.

GOVERNING LAW

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Mandatory consumer-protection rights available under the laws of your place of residence remain unaffected where they cannot legally be waived.

INFORMAL DISPUTE RESOLUTION

Before filing a formal legal claim, you and Floraphy agree to attempt to resolve the dispute informally.

A party initiating a dispute must provide written notice describing:

• The party’s name and contact information.

• Relevant account or order information.

• The nature of the dispute.

• The requested resolution.

Notices to Floraphy must be sent to hi@floraphylabs.com with the subject line “Legal Dispute Notice.”

The parties will attempt in good faith to resolve the dispute for at least 30 days after the notice is received.

JURISDICTION AND VENUE

If a dispute cannot be resolved informally, either party may pursue available remedies in a state or federal court located in Wyoming and having jurisdiction over the dispute.

You consent to the personal jurisdiction and venue of those courts, except where applicable consumer law permits or requires proceedings in another location.

Nothing in these Terms prevents either party from seeking immediate temporary, preliminary, or injunctive relief relating to:

• Intellectual-property infringement.

• Fraud.

• Unauthorized access.

• Data misuse.

• Security threats.

• Misuse of the Services.

NOTICES

We may provide notices to you through:

• The email address associated with your account or order.

• A notice posted through the Services.

• Your customer or subscription portal.

• Text message where you have consented.

• Another method permitted by law.

You are responsible for keeping your contact information current.

A notice sent by email is considered received when transmitted unless the sender receives a delivery-failure notification.

ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without Floraphy’s prior written consent.

Floraphy may assign these Terms in connection with:

• A merger.

• An acquisition.

• A corporate restructuring.

• A financing.

• A sale of assets.

• A transfer to an affiliate.

Any assignment will not reduce non-waivable consumer rights.

SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or removed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

NO WAIVER

Floraphy’s failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

A waiver is effective only if provided in writing by an authorized representative of Floraphy.

ENTIRE AGREEMENT

These Terms, together with the Floraphy Privacy Policy, Refund Policy, Shipping Policy, subscription disclosures, product-page terms, and any additional terms presented during checkout, constitute the entire agreement between you and Floraphy concerning the Services.

If a product-specific, promotional, subscription, or checkout term conflicts with these Terms, the more specific term will govern for that product, promotion, subscription, or transaction.
